These Terms & Conditions (“Terms”) govern your access to our website, request for quotation (RFQ) services, sample orders, and custom manufacturing solutions. By browsing our website or submitting project specifications, you agree to comply with and be bound by the following terms.


1. Commercial Quotations & Validity

All formal quotations, price estimates, and delivery schedules are provided subject to the following conditions:

  • Quote Validity: Standard B2B quotes remain valid for thirty (30) days from issuance, unless raw material cost volatility (e.g., specialty adhesives, specialty foams) necessitates earlier revision.
  • Price Adjustments: Final unit pricing is contingent upon verified CAD files, exact batch quantities, and final material selection. Any discrepancy between preliminary inquiries and final engineering drawings may result in adjusted tooling fees or piece pricing.
  • Minimum Order Quantities (MOQ): MOQs vary depending on master log roll slitting, raw material batching, or custom rotary die-cutting requirements, as detailed in our formal proposal.

2. Technical Specifications & Tolerances

Precision manufacturing requires explicit design verification prior to production:

  • Customer Data Responsibility: The client is solely responsible for verifying the accuracy of all submitted 2D/3D CAD drawings (DXF, DWG, STEP), dimensional callouts, and performance criteria.
  • Standard Manufacturing Tolerances: Unless explicitly agreed otherwise in writing, die-cut foam gaskets, pressure-sensitive adhesive parts, and converted roll components conform to standard industrial tolerances applicable to flexible substrates.
  • Sample Verification: We strongly encourage prototyping and pre-production sample approval prior to volume conversion. Approved first-article samples serve as the benchmark for subsequent batch acceptance.

3. Custom Tooling & Mold Policy

For custom flatbed dies, rotary tooling, and laser-cutting fixtures:

  • Tooling charges (NRE fees) paid by the client cover the design, machining, and initial qualification of custom dies.
  • Custom tooling remains exclusively dedicated to the client’s components and will never be deployed for third-party production.
  • We undertake routine maintenance and refurbishment of tooling during standard production lifecycles at no additional charge.

4. Intellectual Property & NDA Protection

We respect and protect proprietary design rights throughout the manufacturing partnership:

  • Client Property: All proprietary CAD files, technical schematics, and design innovations remain the exclusive intellectual property of the client.
  • Manufacturing Know-How: Proprietary slitting, rotary converting, and die-cutting techniques developed internally by Zealinks remain our exclusive operational property.
  • Website Content: All imagery, technical literature, diagrams, and copywriting displayed on zealinks.com are protected by copyright law and may not be reproduced without written consent.

5. Quality Inspection & Claims Window

Shipment receipt and defect reporting are governed by standard industrial receiving procedures:

  • Inspection Period: Customers must conduct incoming quality inspections within fourteen (14) business days of shipment arrival at the destination facility.
  • Discrepancy Reporting: Any claims regarding dimensional non-conformance, damaged goods, or quantity deviations must be submitted in writing along with photographic or measurement evidence.
  • Remedy: Upon verification of manufacturing defects not caused by improper storage, handling, or customer modification, our liability is limited to prompt replacement of non-conforming parts or issuance of a commercial credit.

6. Limitation of Liability & Force Majeure

In no event shall Zealinks be liable for indirect, incidental, punitive, or consequential damages (including lost profits, line stoppages, or customer downtime) resulting from material delays or component usage. Neither party shall be held liable for delivery failures arising from circumstances beyond reasonable control, including natural disasters, port closures, shipping embargoes, or customs delays.
